Terms of Service

Summary. Premo Trading is a journalling, analytics and data tool for traders. It is not a broker, adviser or signal service, and nothing in it is investment advice. Subscriptions renew automatically until you cancel. Your trade data is yours. Please read the Risk Disclaimer before you rely on anything you see in the platform.

1. Who we are

These Terms of Service (“Terms”) govern your use of the Premo Trading website at premotrading.com and the Premo Trading platform (together, the “Services”). Premo Trading (“Premo,” “we,” “us,” or “our”) is a trade name of Infradev Consulting Inc., a company located at 4-186 Pl. Sutton, Beaconsfield, Quebec, H9W 5S3, Canada.

By creating an account, purchasing a subscription or otherwise using the Services, you agree to these Terms, our Privacy Policy, our Refund and Cancellation Policy and our Risk Disclaimer. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company, you confirm that you are authorized to accept these Terms for it.

3. Not investment advice

Premo Trading provides software for recording, reviewing and analysing trading activity and market data. We are not a broker, dealer, investment adviser, portfolio manager or commodity trading advisor, and we are not registered as any of these with any securities or derivatives regulator.

Nothing in the Services, including analytics, gamma exposure (GEX) levels, strike profiles, AI-generated alerts, scans or summaries, is a recommendation to buy, sell or hold any security, futures contract or other instrument. You alone are responsible for your trading decisions and their results.

4. Your account

• Accounts are personal. Do not share your credentials or let anyone else use your account.
• You are responsible for all activity under your account and for keeping your password secure.
• Give us accurate information and keep it up to date.
• Tell us promptly at support@premotrading.com if you believe your account has been compromised.

We may suspend or close an account that breaches these Terms, puts the Services or other users at risk, or is used for fraud.

5. Plans, billing and renewal

Plans. We offer paid plans, currently Journal and AI, as described on our Pricing page. Each plan can be billed monthly or yearly.

Payment. Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method for the plan you choose. We do not see or store your full card number.

Automatic renewal. Subscriptions renew automatically at the end of each billing period, monthly or yearly, at the then-current price, until you cancel.

Price changes. If we change the price of your plan, we will tell you at least 30 days before the change applies to your next renewal. If you do not agree, you can cancel before the new price takes effect.

Taxes. Prices are shown in US dollars and exclude applicable taxes, which are added at checkout where required.

Cancellation and refunds. You can cancel at any time from your account. See our Refund and Cancellation Policy for what happens when you cancel and when refunds apply.

6. Membership

Members-only features, currently GEX & Strike Profiles and AI Strategy Alerts (“Membership”), are not sold as a plan. Access is by request and is granted at our sole discretion after review. Membership is personal and non-transferable. We may set conditions for membership, change what it includes, or end it, and we will give reasonable notice where we can.

7. Acceptable use

You agree not to:

• copy, resell, redistribute, publish or broadcast data, levels, signals or other output from the Services, including GEX levels, strike profiles and AI strategy alerts, except for your own personal trading;
• share your account, or make the Services available to anyone else;
• scrape, crawl or extract data from the Services by automated means;
• reverse engineer, decompile or try to derive the source code or models behind the Services, except where the law expressly permits it;
• interfere with or disrupt the Services, probe them for vulnerabilities, or get around any security or usage limit;
• use the Services to break any law or the rules of any exchange, broker or prop-trading firm you trade with.

AI features are subject to fair-use limits that protect the Services for all users. We may limit usage that goes well beyond normal personal use.

8. Market data and third-party services

The Services use data and services from third parties, such as market data providers, options exchanges, payment processors and AI providers. That data may be delayed, incomplete or inaccurate, and it is provided “as is.” Some providers impose their own terms on how their data can be used, and you agree to follow them. We are not responsible for third-party services, and their availability may change.

9. AI features

AI features generate output automatically. That output can be wrong, incomplete or out of date, and it is not reviewed by a person before you see it. Treat it as a starting point for your own analysis, never as advice or a guarantee.

10. Your data

You keep all rights to the trade data, notes and other content you put into the Services (“Your Data”). You give us a limited licence to host, process and display Your Data only as needed to provide and improve the Services for you and to keep them secure. We do not sell Your Data. How we handle personal information is described in our Privacy Policy.

You can export or ask us to delete Your Data, as described in the Privacy Policy.

11. Our intellectual property

The Services, including the software, design, calculations, text, graphics and logos, belong to us or our licensors and are protected by law. Subject to these Terms and your subscription, we grant you a personal, non-exclusive, non-transferable right to use the Services for your own trading. All other rights are reserved.

If you send us feedback or suggestions, we may use them without any obligation to you.

12. Availability and changes

We work to keep the Services available and reliable, but we do not guarantee that they will be uninterrupted, error-free or available at any particular time, including during market hours. We may change, add or remove features. If we remove a significant feature of a paid plan, we will tell you in advance.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law:

• we are not liable for any trading losses, lost profits, lost opportunities, or indirect, incidental, special, consequential or punitive damages arising from your use of, or inability to use, the Services, even if we were told they were possible;
• our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law, including liability for intentional or gross fault.

15. Indemnity

To the extent permitted by law, you agree to indemnify us against claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Services.

16. Ending the agreement

You can stop using the Services and cancel your subscription at any time. We may suspend or end your access if you materially breach these Terms, if we are required to by law, or if we stop offering the Services. If we end the Services for reasons other than your breach, we will refund any prepaid fees for the unused period. Sections that by their nature should survive termination, including 3, 7, 11, 13, 14, 15 and 18, will survive.

17. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you by email or in the platform at least 30 days before it takes effect. If you keep using the Services after that date, you accept the updated Terms. If you do not agree, you can cancel before the change takes effect.

18. Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. The courts of the judicial district of Montreal, Quebec, have jurisdiction over any dispute, unless the law where you live gives you the right to bring proceedings in your own jurisdiction.

Consumers. If you are a consumer, including under the Quebec Consumer Protection Act, nothing in these Terms limits the rights you have under laws that cannot be waived by contract. Where any term conflicts with those laws, the law prevails.
